The Role of the Board in
Mergers and Acquisitions

Despite difficult economic conditions, transactions are still getting done in today's environment. However, as companies continue to be acquisitive — or perhaps look for a strategic buyer — the increased scrutiny placed on these transactions by investors, regulators, media members, and other stakeholders means that board members need to be more aware than ever of all the legal, financial and regulatory implications of any deal.

On December 14th, NACD-CT will convene an expert panel to discuss the specifics of director fiduciary duties in M&A transactions, the role of directors in deal negotiations and due diligence, the role of the financial advisor's analysis and fairness opinion, and other matters that board members should consider when reviewing and approving a transaction, such as pending litigation and the earnings impact of the deal.

Please join us for this in-depth discussion of critical issues for board members to consider in the M&A market, up to and including ideas about how directors can ensure that the proper steps are taken for a successful acquisition and managing the risks of doing deals in the global marketplace.

Panel:
John Berndsen, Partner, Transaction Services, KPMG
J. Bruce Boisture, Of Counsel, Day Pitney LLP
Thomas J. Hope, Director, Valuation & Financial Opinions Group, Stout Risius Ross (SRR)
Michael T. Kovalchik III, M.D., Managing Partner, Nephrology Associates of NW CT LLP
