Duties of Directors in Considering Extraordinary
Corporate Transactions: Behind the closed doors of the conference room, directors and their leading
advisors strategize to stay in front of the ever-changing current of
extraordinary corporate transactions, including:
- Duties of directors- care, loyalty, good faith.
- Business Judgment Rule, as the standard of review of directors actions.
- What is expected of directors on receipt of an unsolicited acquisition proposal?
- What conduct is expected of directors in working through extraordinary transactions?
- How should directors handle conflicts of interest situations and when should a special committee be considered?
- What to do about a public company buyer's demands for deal protection provisions- voting agreements, no shop provisions, break up fees, "fiduciary outs," "force-the-vote."
Please join our expert panel for a discussion that will examine these points
along with how directors should respond and perform when they reach the
tipping point of "ordinary" director obligations.

Climate Change Investment Opportunities and Their
Impact on the Board: Climate Change, as an issue of growing concern, has moved from the labs of climate scientists and economists to the boardrooms of corporations across the world. Listed as the first or second most pressing business issue by attendees at the past several World Economic Forums, it is also clear that investors and business leaders are looking to develop strategic advantages that might come from identifying risks and exploring opportunities that have been presented to their companies as a result of climate change. Board members have to better understand the business impacts of climate change in order to be able to provide the proper risk management oversight and fiduciary responsibility of the companies they oversee on behalf of their shareholders and stakeholders. |
