The Connecticut Chapter of the National Association of Corporate Directors will host our 3rd Annual Directors’ Education Workshop on June 18th. This year’s workshop will kick off with a light breakfast & networking, followed by these three educational workshops:
 
Second Round of Proxy Disclosure: This panel will explore the effectiveness of the 2008 executive compensation disclosure process through a panel of experts. Among the issues covered are the likely impact of expanded reporting rules on pay levels, challenges in satisfying SEC requirements and whether expanded disclosure is driving changes in program designs.

  • Business Judgment Rule, as the standard of review of directors actions.
  • What is expected of directors on receipt of an unsolicited acquisition proposal?
  • What conduct is expected of directors in working through extraordinary transactions?
  • How should directors handle conflicts of interest situations and when should a special committee be considered?
  • What to do about a public company buyer's demands for deal protection provisions- voting agreements, no shop provisions, break up fees, "fiduciary outs," "force-the-vote."

Climate Change Investment Opportunities and Their Impact on the Board: Climate Change, as an issue of growing concern, has moved from the labs of climate scientists and economists to the boardrooms of corporations across the world. Listed as the first or second most pressing business issue by attendees at the past several World Economic Forums, it is also clear that investors and business leaders are looking to develop strategic advantages that might come from identifying risks and exploring opportunities that have been presented to their companies as a result of climate change. Board members have to better understand the business impacts of climate change in order to be able to provide the proper risk management oversight and fiduciary responsibility of the companies they oversee on behalf of their shareholders and stakeholders.
