The Role of the Board in M & A Transactions
 

The Board of Directors plays an important role in merger and acquisition transactions.  Directors are required by both corporate governance best practices and the duties imposed upon directors by law to exercise oversight of the corporation’s M&A transactions.  At a time when both M&A activity and the level of scrutiny of director conduct are very high, directors can face significant challenges in fulfilling their duties.

“The Role of the Board in M&A Transactions” features a diverse and experienced panel who have successfully guided companies through a wide variety of public and private M&A transactions.  Our panel will share their insights on topics that will include:  (i) identifying the objectives of the proposed transaction; (ii) the Board’s decision making process, including becoming informed about the transaction and use of experts; (iii) planning for successful integration of the companies; and (iv) corporate governance and legal issues, including director liability issues.
