Executive Compensation:
Key Issues in 2006

Our panel will bring the perspectives of the Shareholder, the Compensation Committee and the CEO as it reviews recent trends and pitfalls and identifies best practices. Moderated by John Ohrnberger of Buck Consultants, featuring Connecticut State Treasurer, Denise L. Nappier, and Richard Booth, Board and Compensation Committee member of Northeast Utilities, and President & CEO, Hartford Steam Boiler Inspection & Insurance Company, who will represent shareholder concerns on the panel. The key issues addressed will include:

·
·

·

·

·
·
Increased need to demonstrate pay to performance linkage
Increased transparency and clarity of Compensation Committee statement in the proxy vs. the highly legalistic versions of today
Stock option expensing – the new law of the land as of 1/1/06 – know the impact on your financials
Change in control analysis – know the real cost since this will have to be reported going forward
Evaluation of compensation programs from a shareholder perspective
Total remuneration and “tally sheets” – Committees must annually review the total remuneration of the executive team
